Indemnification
Clients agree to indemnify and hold MobPlayInsights harmless from any claims, damages, or expenses arising from their use of our services, violation of these terms, or infringement of third-party rights.
This indemnification includes reasonable attorney fees and costs incurred in defending against such claims.
Service Termination
Either party may terminate services with appropriate notice as specified in individual service agreements. We reserve the right to immediately terminate services for violations of these terms or applicable laws.
Upon termination, clients retain rights to completed research deliverables but lose access to ongoing services and proprietary tools.
Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration in São Paulo, Brazil.
The arbitration shall be conducted in accordance with Brazilian arbitration laws, and the decision shall be final and binding on all parties.
Governing Law and Jurisdiction
These terms are governed by Brazilian law, and any legal proceedings shall be subject to the jurisdiction of Brazilian courts in São Paulo, SP.
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.
In such cases, the affected party will notify the other party promptly and make reasonable efforts to minimize the impact of the force majeure event.
Modifications to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated through our website or direct notification to active clients.
Continued use of our services after term modifications constitutes acceptance of the updated terms. We encourage regular review of these terms to stay informed of any changes.
